Bio
Michelle Herman's areas of practice include aviation, equipment leasing, banking and finance, and other general corporate representations. Michelle has represented lenders and lessors in a wide range of aviation finance transactions, including leveraged leases, single-investor leases, operating leases, acquisitions and dispositions of lease portfolios, aircraft foreclosures, debt purchases, and sale and leasing of corporate jet aircraft. Her practice also extends to general corporate finance, specifically the representation of financial institutions and other clients extending or receiving credit through unsecured and secured credit facilities. Prior to joining Jones Day in 2010, Michelle represented the following companies in aviation, equipment leasing, and banking and finance matters: Babcock & Brown, Building Materials Manufacturing Corporation, G-I Holdings, General Motors Corporation, Global Crossing Telecommunications, Lehman Brothers, Oak Hill Capital, Prokom Investments, Silver Point Capital, and Strategic Value Partners. Michelle has participated in the Lawyers Alliance for New York nonprofit externship program. She is a member of the New York State Bar Association and the Association of the Bar of the City of New York.

  • Jones Day represented Deutsche Bank Securities, Inc., as sole lead arranger, syndication agent, and joint bookrunner, in connection with the $400 million amended senior secured term loan facility provided to Ryman Hospitality Properties, Inc., a hotel, resort, entertainment, and media company.
  • Jones Day represented Verint Systems Inc., a provider of Actionable Intelligence solutions and value-added services, in connection with its concurrent public offerings of 5,750,000 shares of Common Stock and $400 million aggregate principal amount of 1.50% Convertible Senior Notes due 2021.
  • Jones Day represented Frontier Communications Corporation, one of the nation's largest independent providers of telecommunications services, in its $750 million revolving credit facility.
  • Jones Day represented Frontier Communications Corporation, one of the nation's largest independent providers of telecommunications services, in connection with the negotiation and documentation of a $350 million senior secured delayed draw term loan facility.
  • Jones Day represented Jefferies Finance LLC, as joint lead arranger, administrative agent, and collateral agent, in connection with the negotiation and documentation of senior secured credit facilities to Steak n Shake Operations, Inc., a fast casual restaurant chain.
  • Jones Day advised Verint Systems Inc., a provider of Actionable Intelligence solutions and value-added services, in connection with the acquisition and related financing of KANA Software, Inc., a portfolio company of Accel-KKR and a leader in customer service solutions delivered both on-premises and in the cloud, for $514 million.
  • Jones Day represented Deutsche Bank AG New York Branch, as administrative agent, letter of credit issuer, and lender, in connection with the letter of credit facility for SunEdison, Inc., a global leader in semiconductor and solar technology.
  • Jones Day advised Bombardier Inc. in the sale of its Flexjet assets, which provide fractional jet ownership services, to a newly created company, Flexjet, LLC, funded by a group led by Directional Aviation Capital for $185 million.
  • Jones Day represented Jefferies Finance LLC, as administrative agent, in connection with the negotiation and documentation of $350 million of senior secured credit facilities provided to Internap Network Services Corporation, a global supplier of IT infrastructure services, in connection with its acquisition of iWeb Group Inc., a global provider of Internet hosting services and IT infrastructure.
  • Jones Day represented TransDigm Group Incorporated, a leading global designer, producer, and supplier of highly engineered aircraft components, and its subsidiaries in connection with a $225 million trade receivables securitization facility.
  • Jones Day advised Verint Systems Inc., a provider of Actionable Intelligence solutions and value-added services, in its $850 million senior secured credit facilities in connection with the refinancing of approximately $770 million of existing senior debt.
  • Jones Day represented The Riverside Company in connection with its acquisition and related financing of Team Technologies, Inc., a specialized contract manufacturer of consumable dental, cosmetic, and medical products for leading CPG, retail, and private label customers.
  • Jones Day separately represented air cargo operators United Parcel Service (UPS) and Southern Air in rulemaking proceedings before the FAA in which it overhauled the rules governing commercial airline pilot scheduling.
  • Jones Day advised Fly Leasing Limited's Board of Directors in connection with the company's acquisition of 49 commercial jet aircraft for $1.4 billion from affiliates of Global Aviation Asset Management.
  • Jones Day advised Verint Systems Inc., a global leader in Actionable Intelligence solutions and value-added services, in its $770 million secured senior credit facilities in connection with the refinancing of approximately $600 million of existing senior debt.
